End-User License Agreement

This EULA governs your use of the MindWiki iOS app, the MindWiki macOS app, and MindWiki Cloud. It supplements and is incorporated into the Terms of Service. By installing or using any MindWiki app, you agree to this EULA.

License grant

Subject to your compliance with this EULA, the Terms of Service, the Acceptable Use Policy, and the AI Use Policy, MindWiki grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the MindWiki apps (iOS and macOS) and to access MindWiki Cloud, solely for your personal or internal business use.

This is a license, not a sale. MindWiki retains all right, title, and interest in and to the apps, the MindWiki Cloud service, and any related documentation, including all copyright, trademark, trade secret, and other intellectual property rights.

Permitted uses

  • Run the apps on devices you own or control.
  • Sign in with one account and synchronize the same vault across your devices.
  • Connect your own AI agents and MCP clients to your vault, subject to the relevant policies.
  • Make copies of the apps for backup purposes, consistent with the Apple Media Services Terms (iOS) and ordinary fair use (macOS).

Restrictions

You agree not to:

  • Reproduce, distribute, sublicense, lease, rent, sell, or otherwise transfer the apps, in whole or in part, except as expressly permitted by this EULA or by applicable law that cannot be waived.
  • Modify, adapt, translate, or create derivative works based on the apps, except to the extent applicable law expressly permits despite this restriction.
  • Reverse engineer, decompile, or disassemble the apps, except to the extent applicable law expressly permits.
  • Remove, alter, or obscure any proprietary notices, labels, watermarks, or attribution embedded in or alongside the apps.
  • Use the apps to develop, train, or improve a competing service or model.
  • Use the apps in violation of the Acceptable Use Policy or applicable law.
  • Circumvent, attempt to circumvent, or assist others to circumvent any technical access controls, license checks, paid-tier gates, or geographic restrictions applied to the apps.
  • Use the apps in a manner that could damage, disable, overburden, or impair MindWiki's infrastructure or interfere with another user's use.

Updates and changes to the apps

MindWiki may issue updates to the apps. Updates may add, modify, remove, or refactor features at our discretion. Critical updates that fix security issues or required platform compatibility may be required to continue using the service. Apple may also push iOS or macOS platform-level updates that are outside our control.

Third-party platforms

Use of the iOS app on Apple devices is also governed by Apple's Licensed Application End User License Agreement. Where this EULA is silent or conflicts with the Apple Licensed Application EULA on a question that Apple's EULA governs, Apple's EULA controls in respect of the iOS app only.

Apple-specific terms (iOS app)

The following section is required by Apple and applies only to the MindWiki iOS app.

  • Acknowledgement. This EULA is concluded between you and MindWiki only, not with Apple. MindWiki, not Apple, is solely responsible for the iOS app and its content.
  • Scope of license. The license granted in this EULA for the iOS app is limited to a non-transferable license to use the iOS app on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
  • Maintenance and support. MindWiki is responsible for providing any maintenance and support for the iOS app as required by applicable law. Apple has no obligation to provide any maintenance or support for the iOS app.
  • Warranty. MindWiki is solely responsible for any product warranties (express or implied by law) for the iOS app to the extent not effectively disclaimed. In the event of any failure of the iOS app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the iOS app to you (if any); to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the iOS app.
  • Product claims.MindWiki, not Apple, is responsible for addressing your claims or any third party's claims relating to the iOS app or your possession and use of it, including but not limited to product liability claims, failure to conform to applicable legal or regulatory requirements, and consumer-protection / privacy claims, subject to the limitations in this EULA and the Terms of Service.
  • Intellectual property claims.In the event of any third-party claim that the iOS app or your possession and use of the iOS app infringes that third party's intellectual property rights, MindWiki, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim, to the extent required by this EULA.
  • Legal compliance.You represent and warrant that (a) you are not located in a country subject to a US-government embargo, or that has been designated by the US government as a "terrorist-supporting" country; and (b) you are not listed on any US-government list of prohibited or restricted parties.
  • Apple as third-party beneficiary. You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA as it applies to the iOS app, and that upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce the EULA against you as a third-party beneficiary thereof.

macOS distribution

The MindWiki macOS app is distributed outside the Mac App Store as a signed and notarized .dmg from mindwiki.io/download. Apple's Licensed Application EULA does not apply to that distribution. This EULA, the Terms of Service, and the Acceptable Use Policy apply in full to the macOS app.

Termination

This EULA is effective until terminated. Your rights under this EULA terminate automatically if you fail to comply with any of its terms. Upon termination, you must stop using the apps and remove all copies from your devices. Sections that by their nature should survive termination — including license restrictions, IP ownership, warranty disclaimers, limitation of liability, indemnification, governing law, and the Apple-specific terms — will survive.

Disclaimer of warranty

EXCEPT AS EXPRESSLY PROVIDED IN THIS EULA OR THE TERMS OF SERVICE, THE APPS AND MINDWIKI CLOUD ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. MINDWIKI DOES NOT WARRANT THAT THE APPS WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN THOSE JURISDICTIONS, THE FOREGOING EXCLUSIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MINDWIKI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF THE APPS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MINDWIKI'S AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THIS EULA WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID MINDWIKI IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) USD 50. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Governing law

This EULA is governed by the laws of the State of Utah, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Mandatory consumer protections of your country of residence are not displaced by this clause.
